How to change a private limited company's name
A rebrand often means changing the legal name of the company. Under Section 13(2), this needs a special resolution and the approval of the Registrar, applied for in INC-24. The company keeps the same CIN, PAN and legal identity.
Process
- 1.Board approves the proposal.
- 2.Reserve the new name through RUN (Reserve Unique Name). See company name rules.
- 3.Hold a general meeting and pass a special resolution; file MGT-14 within 30 days.
- 4.File INC-24 with the altered MOA and AOA.
- 5.The Registrar issues a fresh Certificate of Incorporation with the new name.
For a name change, the new name is reserved for 60 days from approval.
After the change
- Update PAN, TAN, GST, bank accounts, licences and contracts.
- Show the old name alongside the new one on letterheads and invoices for two years.
- Replace the name board.
