Changing a company's registered office address
1 min read
How hard it is to move your registered office depends on how far you are moving. A move within the same city is a board resolution and a form. A move to another state needs government approval and takes weeks.
The four cases
| Move | Approvals | Forms |
|---|---|---|
| Within the same city, town or village | Board resolution | INC-22 within 15 days |
| To another city, same ROC jurisdiction | Special resolution | MGT-14 within 30 days, INC-22 within 15 days |
| To another ROC, same state | Special resolution and Regional Director approval | INC-23, then INC-22 |
| To another state | Special resolution, Regional Director approval, MOA amendment | MGT-14, INC-23, INC-28, then INC-22 |
Documents for INC-22
- Proof of the new address: utility bill not older than two months
- NOC from the owner, and rent agreement if rented
- Board or shareholder resolution
